1. NAME.
a) The name of the club shall be the South Coast Ducati Owners Club Incorporated, hereinafter referred to as the club.
b) The club may have the abbreviated title of the SCDOC.
2. OBJECTIVES.
The objectives of the club are to:
a) Promote and foster interest in the Ducati motorcycles within the South Coast of NSW.
b) Provide the opportunity for owners of Ducati motorcycles to ride together and meet regularly on a social and/or sporting basis.
c) Promote and foster interest in Italian motorcycles in general.
d) Encourage an awareness of, and liaison with, other motorcycle and motoring clubs.
e) Actively promote a better public image of motorcyclists and motorcycling.
3. POWER.
The club shall have the power, subject to the laws of Australia, to do all things as are necessary, expedient or incidental to attainment of any or all the objectives.
4. MEMBERSHIP.
e) The committee may refuse an application for membership.
f) The committee may propose the conferring of an honorary or life membership upon a worthy member of the public or another member who has made an unusual or special contribution to the club. Any such decision should be ratified at a general meeting by a simple magority of members.
5. MEMBERSHIP FEES.
a) The membership year runs from the 1 December to November 30 of the following year and from 1 July to June 30 of the following year.
b) The annual fees for all members shall be payable upon application for membership.
c) The fee for new membership shall be the same as for renewals.
d) The committee may determine that amount of any fee be varied and the decision shall be effective upon ratification by the magority of members attendeing the meeting where such a motion is put.
6. CLUB PATRON.
The club may decide to request a suitable member of the community to act as club patron. The details of such a position shall be decided by a simple majority at an AGM.
7. MEETING.
a) A general meeting shall geneerally be held every two months and an AGM shall take the place within the period of 5 months beginning at the end of each calendar year.
b) At least fourteen (14) days notice of an AGM or an extraordinary general meeting shall be given to all members.
c) At least seven (7) days notice of an ordinary general meeting shall be given to all members.
d) An extraordinary meeting may be part of a general meeting.
8. QUORUM.
a) A quorum for an ordinary general meeting or AGM shall be at least two committee members and four full financial members
9. COMMITTEE.
a) The Committee shall comprise:
i) a president
ii) a secretary/treasuer
iii) and up to four (4) additional committee members.
b) After the date of inauguration to be eligible for office a member shall have been a financial member for at least three (3) months. .
c) A committee member shall hold office until the next AGM, until he/she resigns or is removed from office by a resolution of the club at an extraordinary meeting.
d) In the event of a casual vacancy arising, that vacancy may remain or be filled, following prior notice at a general meeting, for the unexpired period of office until the next AGM and in accordance with the provision of a normal election as stipulated in article eleven (11) of this constitution.
10. DUTIES OF THE COMMITTEE.
The committee shall responsibly manage the business of this club in accordance with this constitution.
a) The president or his/her nominee shall be the spokesperson for the club and shall chair meetings..
b) The vice-president shall assist and deputise for the president as required.
c) The secretary/treasurer shall attend to correspondence and take and keep all minutes of the meetings.
d) The treasurer shall:
i) maintain a correct and accurate record of the financial transactions of the club,
ii) provide a financial report at each general meeting,
iii) present a financial statement to the AGM,
iv) with the committee’s approval, appoint an auditor who is not an officer of the club and has not prepared or assisted with the preparation of the club’s accounts.
e) The social coordinator shall arrange for appropriate gatherings other than general, extraordinary or AGMs.
f) The editor shall co-ordinate material for publication in the club newsletter and shall supervise its production and distribution on a regular basis.
g) The librarian shall administer all club records including the minutes and correspondence of previous years and club newsletters.
h) The committee shall appoint a public officer in accordance with the requirements of the “Associations Incorporation ACT 1991”.
11. ELECTIONS.
a) Each nominee for election to the committee shall be proposed and seconded by members in the following manner.
i) written nominations may be provided to the AGM with signatures of the nominees, proposer and seconder, or
ii) oral nominations may be made at the AGM provided that the nominee, proposer and seconder are present
12. VOTING.
a) Only members who have current paid membership shall be eligible to vote.
b) In the event that there is more than one nominee for a committee position voting for that position shall be by secret ballot.
c) Voting on business other than committee election shall be by show of hands unless a motion calling for a secret ballot is successful.
d) Voting by proxy may only be accepted at an AGM or an extra-ordinary general meeting and must be in writing.
e) Voting on a motion shall be deemed successful if:
i) for constitutional amendments a vote of two thirds majority of all club members is achieved; or
ii) for all matters a simple majority of half plus one vote of those members present is achieved.
f) Where an equal vote on a motion results the matter shall be resolved by the continuation of the situation prior to the motion.
g) The chairman shall have no vote on any motion put before a meeting.
13. MOTIONS.
a) Motions must be formally proposed and seconded before being put to the vote.
b) Where an amendment to the constitution is proposed the motion shall be first published in the club newsletter and be voted upon at an extraordinary general meeting.
14. CLUB INCOME AND PROPERTY.
a) The income and property of the club, however derived, shall be applied solely towards the objectives of the club and no potion thereof shall be paid or transferred, either directly or indirectly, in any form to any club member of their interests except as:
i) remuneration for services rendered to the club or for goods supplied to the club by a member in the ordinary course of business.
ii) remuneration for expenses incurred by a duly authorised member conducting club business.
15. ACCOUNTS.
a) The club shall maintain an account (hereinafter referred to as “account”) with a bank or other financially institution approved by the committee.
b) A receipt shall be issued for all monies received on behalf of the club.
c) All monies received shall be passed to the treasurer for deposit in the account as soon as is practical.
d) All payments from club funds shall normally be by cheque. Any cash payments must be specifically endorsed by the committee as such and a receipt of the transaction, with the payee’s signature, must be retained.
16. CONSTITUTIONAL AMENDMENTS.
a) A period of notice spanning not less than the period between general member meetings meetings shall be given to all members of any proposed amendments to this constitution.
17. LIMITATION OF LIABILITY.
In the event of any claim being made upon the club, the club’s liability shall be limited to the extent of the funds and other assets held by the club. In respect of such a claim, the club shall not require the payment of any member of any fee or levy.
18. DISCIPLINE.
a) A member may request the committee to enquire into a breach of the constitution by another club member and where appropriate the committee may rescind the offender’s membership and concomitant rights and privileges.
b) Where a committee member fails in his/her responsibilities under the constitution a general meeting may sanction the removal from office of that committee member thereby creating a casual vacancy. Any further action may be dealt with under clause a) above.
19. DISSOLUTION.
a) The club shall be dissolved if a resolution to this effect is carried by at lease two-thirds majority of all club members.
b) In the event of the club’s dissolution, any surplus assets shall be transferred to a succeeding body which is approved by a two-thirds majority of all members or, failing approval of such a body, to a body with similar objectives to those set out in article two of this constitution.
c) In the event of a failure to meet the conditions of the clause b) above within a period of six months, all funds and property of the club shall be directed to the Spinal Research Centre,
d) The assets of the club shall not be dissolved amongst members of the club under any circumstances.
"officer", in relation to an incorporated association, means:
(a) a member of the committee of the association;
(b) the public officer, secretary, treasurer or executive officer of the association, the holder of any other office of the association (however described) or a person occupying any of the abovementioned offices, whether validly appointed or not; or
(c) any other person who is concerned in or takes part in the management of the association's affairs; but does not include a patron or the holder of another honorary office of the association if the office does not confer on its incumbent a right to participate in the management of the association's affairs
